1. Introduction

Welcome to ScribeSlide ("Service"), an AI-powered presentation script generation service. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ScribeSlide ("we," "us," or "our") governing your use of the Service.

2. Service Disclaimer

By using the Service, you acknowledge and agree that:

• The Service may experience interruptions, bugs, or unexpected behavior due to third-party dependencies and AI limitations

3. Applicable Terms

3.1. Primary Terms

• These Terms of Service govern your use of ScribeSlide Service.

3.2. Payment Processor Terms

• Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns
• All payments are processed through Paddle.com Market Limited ("Paddle")
• For payment processing, refunds, billing disputes, and related matters, Paddle's Terms of Service (available at https://www.paddle.com/legal/terms) apply in addition to these Terms
• In case of any conflict between these Terms and Paddle's Terms regarding payment processing, Paddle's Terms shall prevail
• You agree to be bound by Paddle's Terms when making payments through our Service
• Paddle handles all payment processing, taxes, and billing-related customer support
• Paddle.com Market Limited acts as Merchant of Record for all payments

• For Service usage and features: ScribeSlide Terms apply
• For payment processing and billing: Paddle Terms apply
• For API usage: OpenAI Terms apply
• For data storage and processing: Linode Terms apply

4. Service Description and Technical Specifications

4.1. Service Overview ScribeSlide provides AI-powered script generation for PowerPoint presentations using OpenAI's GPT-4 technology. The Service availability is dependent on third-party API functionality.

4.2. Technical Requirements and Limitations

• File Format: Only .pptx files are supported
• Maximum File Size: 100MB per presentation
• Script Storage: Generated scripts are embedded directly within the PowerPoint file's Notes section
• API Rate Limits: Service is subject to OpenAI's API rate limits and terms of service

4.3. File Processing and Storage

• Files are stored in their original format
• No additional encryption is applied to uploaded files
• Users should not upload sensitive or confidential information
• Files are retained for 15 days after upload
• File storage and processing is handled on secured servers in the United States

4.4. Service Dependencies

• Service performance is dependent on OpenAI API availability
• Processing times may vary based on presentation size and system load
• Service may experience interruptions due to third-party API dependencies

4.5. System Access

• Sessions timeout after 1 hour of inactivity
• Service is accessible through modern web browsers
• No dedicated software installation required

5. Account Registration and Security

5.1. To use the Service, you must:

• Create an account with valid information
• Maintain password security (minimum 6 characters)
• Not share or transfer your account
• Use the Service for a single user only

5.2. Sessions automatically timeout after 1 hour of inactivity.

5.3. Security Measures

• We take reasonable measures to protect your account and data
• You are responsible for maintaining the security of your account
• We do not store your password
• Passwords are encrypted and protected against unauthorized access

6. User Responsibilities and Restrictions

You agree to:

• Not upload sensitive, confidential, or illegal content
• Remove personal information (names, emails) from presentations
• Not exceed plan limits or abuse the system
• Not use automated tools or bots to access the Service
• Take full responsibility for uploaded content

7. Subscription Plans and Payments

7.1. Payment Processing

• All payments are processed through Paddle
• We provide a free trial for 3 days before initial charge. After that period payments are final and non-refundable through ScribeSlide.
• If you believe a mistake occurred during the ordering process (e.g., using an incorrect corporate card), please contact us within 30 days. We may issue a refund at our discretion.
• All refunds are processed through our payment processor, Paddle.

7.2. Subscription Terms

• 3-day trial period before initial charge
• Users may cancel recurring subscriptions at any time
• With cancellation your account and your data will be deleted
• You may create a new account and subscribe again at any time
• Unused slides reset at the beginning of each billing period
• Maximum file size: 100MB per presentation
• Generation limits apply with each subscription plan

7.3. Taxes and Billing

• All applicable sales taxes, VAT, and other taxes will be calculated and collected by Paddle
• Prices displayed may vary by region due to local tax requirements
• Users are responsible for any taxes not collected by Paddle
• Profits made by ScribeSlide are subject to local tax laws

8. Data Retention and Privacy

8.1. Data Storage

• Presentations are retained for 15 days for purpose to be available for download in the user's dashboard
• Users can manually delete files through the dashboard
• Account cancellation triggers automatic deletion of all materials and user data

8.2. Data Usage

• We do not use uploaded materials for AI training
• We collect and store email addresses
• We do not share data with third parties except as required for Service operation (OpenAI, Paddle)

8.3 Payment Data Protection

• All payment data is processed securely by Paddle
• SSL encryption is used to protect payment data
• ScribeSlide does not store credit card or banking information
• Payment-related disputes are handled directly through Paddle's support system

9. Intellectual Property

9.1. Users retain all rights to:

• Uploaded presentation content
• AI-generated scripts

9.2. Users are solely responsible for:

• Ensuring uploaded content doesn't violate copyright laws
• Obtaining necessary permissions for content use
• Any damages resulting from content use

10. Service Availability and Support

10.1. Service Operation

• 99.9% uptime target, excluding third-party API dependencies
• Global service availability in English language only

10.2. Customer Support

• Email support provided within 24 hours for paid users
• Email support provided within 48 hours for free users
• Bug fixes and technical issues addressed on a best-effort basis
• Support provided in English only

11. Termination

We reserve the right to:

• Issue warnings for Terms violations
• Immediately suspend accounts for uploading sensitive/illegal content
• Terminate accounts for repeated violations
• Modify or discontinue the Service at any time

12. Limitation of Liability

ScribeSlide is provided "as is" without warranties of any kind. We shall not be liable for:

• Service interruptions or failures
• Data loss or corruption
• Quality of generated scripts
• Third-party API availability
• Any indirect, consequential, or incidental damages

13. Geographical Restrictions

13.1. Service Availability

• We do not target our service for use or advertise to UK and EU countries.
• Users are responsible for ensuring compliance with their local laws.
• We reserve the right to restrict service access based on geographical location.

13.2. Compliance

• The Service operates under and complies with South Korean law.
• Users outside South Korea access the Service subject to their local regulations.

14. Governing Law

These Terms are governed by the laws of South Korea. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Korea.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of modified Terms.
